Closing a Business in Portugal

Whether you're closing a company or simply stopping self-employed (Recibos Verdes) activity, there are specific steps to properly close things down with Financas and Seguranca Social. Failing to formally close your activity means you'll continue to owe social security contributions and tax obligations.

Stop issuing invoices

Complete all outstanding work and issue final invoices. Collect any outstanding payments. After cessation, you cannot issue invoices under this activity.

Declare cessation of activity at Financas

For Recibos Verdes (sole trader): submit the cessation declaration at Portal das Financas or in person. For companies (Lda/SA): the process is more complex and requires a formal dissolution.

Notify Seguranca Social

Social security contributions don't stop automatically when you cease activity at Financas. You must separately notify Seguranca Social. Outstanding contributions must be paid.

File final tax declarations

Submit your final IRS/IRC declaration covering income up to the cessation date. IVA (VAT): submit the final periodic declaration and deregister from IVA if registered. The tax authority may review your last 4 years of filings after cessation.

Handle employees (if applicable)

If you have employees: follow Portuguese labor law for termination (notice periods, severance pay). Notify ACT (labor authority). Complete final salary payments and issue employment certificates.

Close company at the Conservatoria (companies only)

For Lda/SA companies: formal dissolution through the Conservatoria or Empresa na Hora. Requires a shareholders' meeting resolution, appointment of a liquidator, settlement of all debts, and filing the dissolution at the commercial registry.

Watch out

  • You will continue to owe social security contributions until you formally notify both Financas AND Seguranca Social
  • The tax authority can audit the last 4 years after cessation — keep all records
  • Employee termination in Portugal has strict rules and costs. Budget for severance
  • Company dissolution can take months if there are outstanding debts or tax disputes
